Terms of service
The framework, simple and clear.
These terms govern every engagement entrusted to K-SAT AI Agency. They apply to all services unless otherwise agreed in writing in a dedicated contract.

1. Purpose
K-SAT AI Agency ("K-SAT") provides AI-generated advertising production services (image, video) and performance campaign management on digital platforms (Meta, Google, TikTok, LinkedIn). This document governs the relationship between K-SAT and its client ("the Client").
2. Engagement formats
K-SAT offers four formats, which can be combined as needed:
Monthly retainer
Continuous creative and media pipeline. Minimum commitment of 3 months, terminable on 30 days' notice after that period.
One-off project
A specific production (campaign, master film, identity rework). Fixed quote, payment by milestones (30% on order, 40% mid-production, 30% on final delivery).
Performance fee
On managed media budgets. Percentage set contractually and capped. Transparent monthly reporting.
Product licence & subscription
For K-SAT software products (Logistics ERP, SAGA AI WhatsApp Assistant, OPTIMIS Enterprise OS, Synera, AyguFX AI): a non-exclusive, non-transferable licence to use, billed as a subscription according to the plan chosen. Commissioning, data migration and training are quoted separately. A data processing agreement (DPA) is signed with the subscription.
3. Process & deliverables
Every engagement follows the K-SAT 8-phase pipeline:
- Client brief (Account Manager)
- Strategy (Strategist)
- Creative direction (Creative Director)
- Copy (Copywriter + Editor)
- AI production (Producer)
- Media plan & budget (Performance Marketer)
- Distribution
- Read-out & NBA (Analyst → Account Manager)
Every production deliverable is approved by the Client through Airtable before the next phase begins. Three free iterations per deliverable; beyond that, on quotation.
4. Pricing & payment
Every service is covered by a dated quote, signed electronically before any work starts. Prices are in euros, excluding applicable Belgian VAT (21% unless a legal exception applies).
Payment term: 30 days net from the invoice. Beyond that, late-payment interest at the applicable Belgian statutory rate plus a fixed indemnity of €40 (art. 5 of the Act of 2 August 2002).
Accepted payment methods: SEPA transfer, card (Stripe); for retainers, monthly SEPA direct debit.
5. Lead times
The standard K-SAT cycle is 3 weeks from brief intake to going live. Accelerated delivery (10 days) is possible where the brief is complete — a 25% surcharge applies.
Lead times are indicative and conditional on the Client supplying the necessary material (brand book, product photography, platform access). A delay by the Client automatically suspends the agreed lead times.
6. Intellectual property
Final deliverables: upon payment in full, the Client becomes the exclusive owner of the image and video content delivered. Full assignment, unlimited commercial exploitation, derivatives permitted, worldwide.
K-SAT methodology: internal frameworks (briefs, testing matrices, templates), technical tooling (image_gen and video_gen pipelines) and trade marks remain the exclusive property of K-SAT.
Portfolio: unless a confidentiality clause provides otherwise, K-SAT retains the right to present the work produced in its portfolio (website, sales presentations, social media).
AI models: content is generated through third-party models (Google Veo / Nano Banana, Kuaishou Kling, OpenAI Sora) under activated commercial licences. The Client undertakes not to use the deliverables in ways contrary to those providers' terms.
7. Confidentiality
Both parties undertake to preserve the confidentiality of all information exchanged during the engagement (brief, business data, KPIs, prospect lists, performance metrics). This undertaking runs for the duration of the engagement and 3 years after it ends.
8. Liability
K-SAT undertakes an obligation of means, not of result — the performance of advertising campaigns depends on external variables (the offer, the market, the platforms, seasonality).
K-SAT's total liability, on all grounds combined, is capped at the amount invoiced over the 3 months preceding the loss. No compensation for indirect loss, loss of turnover or loss of data.
K-SAT cannot be held liable for the suspension or refusal of accounts by advertising platforms (Meta, Google, etc.) where the Client is the direct account holder.
Software products
The products are supplied as they stand and in accordance with their documentation. The Client remains responsible for the accuracy of the data it enters, for the content it publishes or sends from the system, for the consent of the people it contacts, and for the human approval of actions flagged as sensitive. The guardrail and approval layers reduce risk; they do not transfer responsibility to K-SAT.
AyguFX AI — financial disclaimer
AyguFX AI is a decision-support and risk-governance tool. It does not constitute investment advice, nor a recommendation, an offer or a solicitation in respect of any financial instrument. K-SAT is not an investment firm within the meaning of Belgian and European regulation, and provides neither portfolio management, nor investment advice, nor the reception and transmission of orders.
No return is guaranteed and no edge is claimed: past or simulated performance is not an indicator of future results. Leveraged instruments and derivatives carry a high level of risk that can extend to the total loss of the capital committed. Enabling execution with real money is a separate decision of the account holder, who alone bears its consequences.
9. Termination
Retainer: terminable by either party on 30 days' notice after the minimum 3-month period.
One-off project: not unilaterally terminable once production has started. Cancellation is accepted before production against a refund of the sums paid, less a flat retention of 30% (preparatory costs).
K-SAT reserves the right to terminate with immediate effect in the event of non-payment, of a request contrary to ethics (misleading, unlawful or discriminatory content), or of a serious breach of these terms.
10. Governing law & jurisdiction
These terms are governed by Belgian law. Any dispute will be submitted to the courts of the judicial district of Brussels, after a prior attempt at amicable resolution of at least 30 days.
